"BRUTAL MASSACRE" CONTEST - OFFICIAL RULES

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN.

1.  Contest:  "BRUTAL MASSACRE CONTEST ("Contest") will begin at 12:01 am Eastern Standard Time (EST) on May 16, 2008 and end at 11:59pm EST on July 15, 2008 ("Contest Period").  The Contest is sponsored by Starz Media, LLC ("Sponsor") who is solely responsible for all aspects of this Contest.  The Contest consists of you creating a video that is either a trailer or a scene from one of the four "fake" movies (Sasquatch at the Mall; The Fish Who Ate Flesh; Bowel Movement; or Garbage Man) referenced in the film Brutal Massacre and submitting that video to the Contest YouTube Group located at http://www.youtube.com/group/brutalmassacre ("Website").  By entering the Contest, you (sometimes referred to herein as "you", "your", and "Entrant") unconditionally accept and agree to comply with and abide by these Official Rules and the decisions of the Sponsor.  

2.  Eligibility: Contest is open only to individuals who: (i) are legal residents of the United States and living in one of the 50 United States or the District of Columbia at the time of entry, (ii) are 18 years of age or older at the time of entry; and (iii) are or become registered members at YouTube.com at the time of entry.  All federal, state and local laws and regulations apply.  Void where prohibited, taxed or otherwise restricted by law. Employees, officers, directors and representatives of Sponsor, its parent company, affiliates, subsidiaries, licensees, service providers, advertising and promotion agencies, those involved in the production, development, implementation or handling of the Contest, any agents acting on behalf of the above entities, as well as the immediate family members (parents, children, siblings, spouses) and/or persons living in the same household (whether related or not) of each are not eligible to participate in the Contest or win a prize.

3.  To Enter:    An Entrant may enter the Contest by using an Internet connection from within the 50 United States or the District of Columbia, and going to the Website. Only Entrants who are a registered members of YouTube.com are eligible to enter the Contest.  Follow the on-screen instructions, complete the entry form and submit a video of your own creation to the Brutal Massacre Group on YouTube ("Submission").  The Submission must begin or end with the title card that can be downloaded at http://www.starzmediadigital.com/brutal/720x480.jpg . The use of any device to automate the entry process is prohibited.   By submitting a video to the Contest, you acknowledge and represent that your Submission is your own previously unpublished work and does not contain any third party copyrighted material. Upon request by Sponsor you must be able to provide all appropriate clearances, permissions and releases for your Submission.  Sponsor, at its sole discretion, reserves the right to disqualify a Submission in the event you cannot supply Sponsor with all required releases and clearances.  Submissions not properly uploaded to the Contest Website during the Contest Period for whatever reason will be ineligible to win. Submissions received by any other means or made after the end of the Contest Period will not be accepted.  The Website's database clock will be the official time keeper for this Contest.  Entry in the Contest does not constitute entry into any other Sponsor or YouTube game, contest or sweepstakes.  Information about how the Website is used, and whether you responded to a Sponsor offer will be collected in aggregate.  You will be prompted for permission in each instance where your personal information will be collected, such as name, address, date of birth, gender, telephone numbers and email address.  Upon exiting, data about your session is sent to an online tracking server. 

QUALIFIERS: As Submissions are received they will be reviewed to determine whether or not they meet the entry requirements.  Only those entries that meet all entry requirements will be eligible to be judged.  Entry audio or text, if any, must be in English.  Entries may be no less than :45 seconds and no more than 3:00 minutes in length from start to finish.  Any entry, in the opinion of Sponsor, found to be fraudulently created, to involve illegal, dangerous or harmful activities, to infringe upon existing rights of others, to be incomplete, damaged, unviewable, obscene, vulgar or offensive, pornographic, libelous, hate speech or otherwise objectionable, in whole or in part, will be disqualified and will not be eligible for entry.

4.  Use of Submissions:  Each Submission entered into the Contest will automatically be included in YouTube's online community and open for ranking by any Website visitor, but public rankings will not be used in any way to determine any Contest winner.  (See PROCEDURE OF AWARDING PRIZES, below)  The screen name of any person who submits an entry will be posted online at http://www.youtube.com/group/brutalmassacre, as will their Submission.  Grand prize winner will be required to deliver to Sponsor, within thirty (30) days of executing and returning the Affidavit (as hereinafter defined), a copy of the winning Submission in one of the following formats: Uncompressed Quicktime, WMV, Flash on CD or DVD, Mini DV, DV Cam/ DVC Pro, Portable USB drive or Mini DVD.

5.  Procedure for Awarding Prizes:  A panel of judges selected by Sponsor will review and judge the Submissions and, provided a sufficient number of eligible entries are received, select a grand prize winner and runner up prize winners.  On or about July 31, 2008, a judging panel will select potential winners based on the following criteria: Creativity (0-250 points); Originality (0-500) and Appropriateness to the Theme (0-250). In the event of a tie, winner will be selected based on the highest score in the Originality category. Participants agree to be bound by these Official Rules and the decisions of the Sponsor and judges whose decisions are final and binding.
Sponsor or Sponsor's representative will attempt to contact each potential grand prize winner and runner up winner by telephone and/or mail using the contact information provided at the time of entry. Neither Sponsor nor YouTube will have liability for any winner notification that is lost, intercepted or not received by the potential winner for any reason.  If, despite reasonable efforts, a potential winner does not respond within five (5) business days of the Sponsor's initial notification attempt, or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and, at Sponsor's sole discretion, an alternate winner may be selected. If any potential winner is found to be ineligible for any reason, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected.  Odds of winning a prize depend on the number of eligible entries received during the Contest Period.  Limit: One (1) prize per Entrant.  

6. Description of Prize(s):  Grand Prize (1): $1,000.00; First Prize (1): 10-pack of DVDs from Anchor Bay Entertainment (titles determined by Sponsor)(ARV: $160).  All details and other restrictions of prizes not specified in these Official Rules will be determined by Sponsor in its sole discretion. Prizes are non-assignable and non-transferable. No cash alternative or prize substitutions will be allowed, except Sponsor reserves the right to substitute prize(s) of comparable value if the prizes listed are unavailable for any reason. Any prizes depicted in promotional packaging or otherwise in connection with this Contest are for illustrative purposes only and may not represent the actual prize(s) that is(are) awarded. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Contest promotional materials and the terms and conditions of these Official Rules, these Official Rules will prevail and govern. Runner up prizes will be distributed within ninety (90) days after the prize winners have been successfully contacted and notified of his/her prize and complied with any verification requirements set forth herein. Prize winners will be solely responsible for all federal, state and/or local taxes, and/or any other fees/costs associated with any prize or receipt of any prize and the reporting consequences thereof.  Each prize winner will be required to sign and return an Affidavit of Eligibility, a Liability Release, and a Publicity Release (unless prohibited) (collectively, "Affidavit") within 14 days of written notification or a shorter time if required by exigencies, or else prize winner will be disqualified and an alternate winner may be selected.   

7. General Release: Acceptance of a prize constitutes winner's permission for Sponsor and YouTube to use winner's name, photograph, likeness, voice, biographical information, statements, Contest entry, Submission, and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation. Entrants agree that the Sponsor and their respective officers, directors and employees (A) will not be responsible or liable for any losses, damages or injuries of any kind resulting from participation in the Contest or any Contest-related activity, or from Entrant's acceptance, receipt, possession and/or use or misuse of any prize, and (B) HAVE NOT MADE AND HEREBY DISCLAIM ANY WARRANTY, REPRESENTATION OR GUARANTEE EXPRESS OR IMPLIED, IN FACT OR IN LAW, WITH RESPECT TO ANY PRIZE, INCLUDING, WITHOUT LIMITATION, TO SUCH PRIZE'S MERCHANTABILITY OR QUALITY OR FITNESS FOR A PARTICULAR PURPOSE. Neither Sponsor nor YouTube assumes any responsibility for any damage to an Entrant's computer system which is occasioned by accessing the Website or participating in the Contest, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, neither Sponsor nor YouTube is responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet Service Providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, or difficulties, printing errors, clerical, typographical or other errors in the offering or announcement of any prize or in any prize notification documents; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Contest or the Website, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike-like or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Contest, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. No mechanically reproduced, illegible, incomplete, forged, software generated or other automated multiple entries will be accepted. In the event of a dispute as to the identity of an Entrant, the entry will be deemed submitted by the authorized account holder of the e-mail account indicated during the registration process, provided such account holder must still meet the eligibility requirements for the Contest. The authorized account holder will be the natural person to whom the applicable email address has been assigned by the Internet access provider, service provider, or other online organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. A potential winner may be requested to provide the Sponsor with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning entry. If a dispute cannot be resolved, the affected entry will be deemed ineligible. Sponsor reserves the right to modify, adjust, remove Entrants, or otherwise modify, extend, suspend, or terminate the Contest or disqualify affected entries, if it determines, in its sole discretion, that the Contest is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor's control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Contest as contemplated herein. If the Contest is terminated before the designated end date, Sponsor will (if feasible) select winners in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules will otherwise remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

CAUTION:  ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR SPONSOR'S OWN WEB SITES OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDITES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

8. Ownership/Further Documents/No Obligation to Use: By entering your Submission in the Contest, you acknowledge and agree that between you, on the one hand, and Sponsor, on the other hand: (a) Sponsor will own all Submissions entered by you in the Contest or otherwise uploaded to the Website, and (b) Sponsor will own all now known or hereafter existing rights of every kind throughout the universe, in perpetuity and in all languages, pertaining to the Submission including, without limitation, all copyrights and publishing rights thereto.  Entrant without limitation or reservation hereby conveys, grants, transfers and assigns to Sponsor, its successors and assigns, all present and future right, title and interest of every kind and nature whatsoever, including, without limitation, all copyrights, all music and music publishing rights, and all rights incidental, subsidiary, ancillary or allied thereto (including, without limitation, all derivative rights) in and to the Submissions for exploitation throughout the universe, in perpetuity, by means of any and all media and devices whether now known or hereafter devised (the "Rights"). Sponsor and YouTube will have the right, in their sole discretion, to edit, composite, morph, scan, duplicate, or alter, the Submissions for any purpose which Sponsor and/or YouTube deems necessary or desirable, and each Entrant irrevocably waives any and all so-called moral rights they may have in the Submission.  Each Entrant hereby acknowledges that such Entrant does not reserve any rights in and to the Submissions including without limitation Entrant's results and proceeds therein.

9.  Other Acknowledgements: If Sponsor desires to secure additional assignments or other documents as Sponsor may reasonably require in order to effectuate the ownership of the Rights, then you agree to sign upon Sponsor's request, such further assignments and/or documents or do such other acts as may be reasonably required to evidence and/or confirm Sponsor's ownership of the Submission, including without limitation any new rights that may come into being and/or be recognized in the future, under law and/or in equity, and Entrant intends to and does hereby assign, grant and convey to Sponsor any and all such new rights in and to Entrant's results and proceeds.  Entrant and Sponsor are also aware and do hereby acknowledge that new (and/or changed) technology, uses, media, formats, modes of transmission, and methods of distribution, dissemination, exhibition or performance are being and will inevitably continue to be developed in the future, which would offer new opportunities for exploiting such results and proceeds, and Entrant intends and does hereby assign, grant and convey to Sponsor any and all rights to the aforementioned with respect to such results and proceeds. Neither Sponsor nor YouTube will have any obligation (express or implied) to use the winning Submission, or to develop, produce, distribute or otherwise exploit the winning Submission, and the winners will not be entitled to any damages or other relief by reason thereof.

10.  Representations and Warranties / Indemnification:  Each person who enters this Contest represents and warrants as follows: (a) the Entrant's Submission is the Entrant's own original, previously-unrecorded work, (b) the Entrant's Submission is wholly original with Entrant and as of the date of submission, is not the subject of any actual or threatened litigation or claim, (c) the Entrant has the right to use any of Entrant's materials included in the Submission either because they were created by the Entrant, duly licensed by the Entrant or otherwise, and the Entrant's Submission does not, and exploitation of the Rights will not, infringe upon or violate the intellectual property rights or other rights of any other person or entity, and (d) the Entrant's Submission does not and will not violate any applicable laws, and is not and will not be defamatory, libelous, pornographic, violent or obscene. Each Entrant hereby agrees to indemnify and hold the Sponsor and YouTube harmless from and against any and all third party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations or agreements of Entrant hereunder. Entrants agree that the Sponsor and YouTube will not be responsible or liable for any losses, damages or injuries of any kind resulting from participation in the Contest or any Contest-related activity, or from Entrants' acceptance, receipt, possession and/or use or misuse of the prize, and have not made any warranty, representation or guarantee express or implied in fact of in law, with respect to the prize, including, without limitation, to such prize's quality or fitness for a particular purpose. 

11. Nature of Relationship / Waiver of Injunctive Relief:  Each Entrant hereby acknowledges and agrees that the relationship between the Entrant, on the one hand, and Sponsor and YouTube, on the other hand, is not a confidential, fiduciary, or other special relationship, and that the Entrant's decision to provide the Entrant's Submission to Sponsor for purposes of the Contest does not place Sponsor or YouTube in a position that is any different from the position held by members of the general public with regard to elements of the Entrant's Submission. Each Entrant understands and acknowledges that Sponsor and YouTube have wide access to ideas and material and that new ideas are constantly being submitted to them or being developed by their own employees. Each Entrant also acknowledges that many ideas or stories may be competitive with, similar or identical to the Entrant's Submission in content, premise, format, tempo, rhythm, beat, harmony, theme, or other respects. Each Entrant acknowledges and agrees that such Entrant will not be entitled to any compensation as a result of Sponsor's or YouTube's use of the Entrant's Submission or any such similar or identical material that has or may come to Sponsor or YouTube from other sources. Each Entrant acknowledges and agrees that neither Sponsor nor YouTube now has and neither will have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the Entrant's rights, if any, in any Entrant's materials. Finally, each Entrant acknowledges that, with respect to any claim by Entrant relating to or arising out of Sponsor's or YouTube's actual or alleged exploitation or use of any Submission or other material submitted in connection with the Contest, the damage, if any, thereby caused to the applicable Entrant will not be irreparable or otherwise sufficient to entitle such Entrant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition or other exploitation of anything based on or allegedly based on the Entrant's Submission, and Entrant's rights and remedies in any such event will be strictly limited to the right to recover damages, if any, in an action at law.

12. Privacy: Information collected in connection with the Contest may be shared with Sponsor's co-promotional partners to the extent Entrants agree at the time of entry, and in such event, the use of such information by such promotional partners will be used in accordance with such partners' respective privacy policies. Except as otherwise contemplated in these Official Rules, such information will be used in accordance with the Sponsor's Privacy Policy available at http://starzmediadigital.com/privacy/.

13. Winners List:  For a copy of the winners list, mail a postage pre-paid, self-addressed, stamped envelope to: "BRUTAL MASSACRE" Contest Winners List, c/o Brutal Massacre Contest, Dept # 5801, PO BOX 5008, Stacy, MN 55078-5008. All such requests must be received by July 31, 2008.

14.  Governing Jurisdiction: ALL ISSUES AND QUESTION CONERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THIS OFFICAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE CONTEST WILL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF CALIFORNIA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OR CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE'S LAW.

15.  Disputes: Except where prohibited, Entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively in the jurisdiction of the courts of the State of California (and/or the federal court within California),; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys' fees; and (3) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of California without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.
